These Terms and Conditions (“T&C”) govern the access to and use of the website www.primelands.ro (hereinafter referred to as the “Website”), operated by S2A PRIME LANDS ADVISORS S.R.L. (hereinafter referred to as the “Operator” or “S2A Prime Lands Advisors S.R.L.”). 

By accessing and using the Website, the User confirms that they have read, understood, and fully accepted these Terms and Conditions.

2. Definitions

  • Operator / S2A Prime Lands Advisors S.R.L. – S2A PRIME LANDS ADVISORS S.R.L. 
  • User – any natural or legal person accessing the Website 
  • Services – real estate advisory, consultancy, and brokerage services 
  • Content – any materials published on the Website (texts, images, descriptions, graphics, branding elements) 

3. Nature and purpose of the Website

The Website is provided solely for general informational and presentation purposes, and to facilitate enquiries regarding the Operator’s services. It aims to showcase properties available for sale, and to facilitate contact between Users and the Operator.
The Website Content:

  • does not constitute a firm offer, a contractual undertaking, or any other legally binding commitment;
  • does not, by itself, create any contractual, agency, representation, mandate, or exclusivity relationship between the User and the Operator
  • does not constitute legal, financial, tax, technical, or investment advice (see Section 11).

Any contractual relationship is established exclusively through separate written agreements, duly signed by the parties.

4. Access to and use of the Website

Access to the Website is free of charge and temporary. The Operator reserves the right to: 

  • modify the structure, content, or functionalities of the Website; 
  • suspend or restrict access, without prior notice; 
  • correct or remove information deemed inaccurate, incomplete, or outdated. 

 

The User undertakes to use the Website in good faith and in compliance with applicable law. 

5. Intellectual property

All Website Content is protected by applicable intellectual property laws and is owned by the Operator or used by it under license or other lawful basis.

Any copying, reproduction, distribution, publication, modification, or commercial exploitation of the Website Content, in whole or in part, without the Operator’s prior written consent is strictly prohibited.

6. Limitation of liability

S2A Prime Lands Advisors S.R.L. carries out its activity based on professional experience, expertise, and knowledge in the real estate field.

However, the Operator does not guarantee:

  • the achievement of financial or commercial results
  • the completion of transactions.

For the avoidance of doubt, the Operator makes no guarantee regarding the availability of any particular property or opportunity, as further set out in Sections 9 and 10.

Any reliance on the Website Content is at the User’s sole risk, subject to the ‘as is’ basis and disclaimers set out in Section 8. The Operator shall not be liable for any direct or indirect loss or damage, including any special, incidental, or consequential loss, arising out of or in connection with the use of, or reliance on, the Website Content.

7. Limited liability for documents and materials provided subsequently

Any documents, presentations, value opinions, analyses, or other materials provided by the Operator following a request made through the Website are provided on an indicative basis only and may be subject to specific terms and conditions communicated separately. Unless expressly agreed in writing, such materials do not constitute official documents, authorized valuations, authorized appraisal reports, or investment recommendations.

8. Informational nature of the Content. “As is” provision

Without limiting Section 3, the Website Content is provided on an ‘as is’ basis, without any representations or warranties, express or implied, including but not limited to warranties regarding accuracy, completeness, timeliness, or fitness for a particular purpose.

9. Lead generation, forms, and value opinions

Completing contact forms, requesting a value opinion, or submitting information through the Website:

  • does not guarantee the availability of any particular property;
  • does not, by itself, constitute a mandate, representation, or exclusivity;
  • does not represent official valuations, authorized appraisal reports.

Any documents, opinions, analyses, or materials provided by the Operator following a request submitted through the Website are subject to Section 7 and any separate terms communicated by the Operator.

10. Off-market opportunities and exclusivity

Any references to off-market opportunities, exclusive transactions, or privileged access are descriptive in nature only. The Operator assumes no obligation to source, provide, or maintain access to any such opportunities, and their availability may change at any time. Any access is granted solely under separate written agreements.

11. No investment advice

The Website Content does not constitute regulated investment advice and does not represent an investment recommendation under applicable law. Any information made available is provided for general informational purposes only. The User is solely responsible for obtaining independent legal, financial, tax, and technical advice before making any investment or transaction decision.

12. Use of information. No contractual relationship

For the avoidance of doubt, use of the Website does not create any agency, representation, mandate, or exclusivity relationship between the User and the Operator.

Any use of the Website Content is subject to the intellectual property provisions set out in Section 5.

15. Force majeure

The Operator shall not be liable for the failure to perform its obligations due to force majeure events, as defined by Romanian law.

16. Governing law and jurisdiction

These Terms and Conditions are governed by Romanian law. 

Any disputes shall be settled by the competent courts of Romania. 

17. Amendments

The Operator reserves the right to modify these Terms and Conditions at any time without prior notice. The updated version shall be published on the Website and shall take effect as of the publication date.
